Terms of Service

1. Acceptance of Terms
By accessing or using the API and middleware services provided by Optpax ("Service"), you agree to be bound by these Terms of Service. If you are accepting these terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity.

2. Description of Service
Optpax provides a B2B middleware platform that facilitates commerce routing and API translation. We do not sell consumer goods or travel inventory directly.

3. Account Registration & API Keys
You must provide accurate information when creating an account. You are solely responsible for maintaining the confidentiality of your API keys, passwords, and Merchant Identity Keys. You are responsible for all activity that occurs under your account.

4. Merchant of Record & Liability
When utilizing our platform for commerce routing (including UCP transactions):

You (the client) remain the sole Merchant of Record (MoR) for all transactions processed through your connected endpoints.

You are solely responsible for fulfillment, customer service, refunds, and compliance with all applicable consumer protection laws.

Optpax acts strictly as a data processor and routing agent.

5. Acceptable Use
You agree not to:

Use the Service for any unlawful purpose or in violation of any local, state, national, or international law.

Interfere with or disrupt the integrity or performance of the Service (e.g., executing denial-of-service attacks).

Attempt to gain unauthorized access to our platform, other users' accounts, or underlying infrastructure.

6. Limitation of Liability
To the maximum extent permitted by law, Optpax shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business goodwill, arising out of your use of or inability to use the Service.

7. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Louisiana, without regard to its conflict of law provisions.

8. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify users of significant changes via the email address associated with your account.
